Terms of Service

1. Agreement to Terms
By accessing or using IntelliDesk at intellidesk.co, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the service. If you are using IntelliDesk on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.
2. Description of Service
IntelliDesk is a helpdesk and project management platform operated by i60 (i60.co). The service includes, but is not limited to:
- Support ticket management and routing
- Email integration (including Gmail) for ticket creation and responses
- Project boards and task management
- Client portal for end-user ticket submission and tracking
- Knowledge base for documentation
- Team collaboration tools
We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.
3. Accounts and Registration
To use IntelliDesk, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security of your account credentials
- Accept responsibility for all activity that occurs under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 18 years of age or the legal age of majority in your jurisdiction to use IntelliDesk. Each individual may maintain only one account.
4. Organizations
IntelliDesk is organized around organizations in a multi-tenant architecture. Each organization has its own workspace with separate data, settings, and billing.
- Organization administrators are responsible for managing members, roles, settings, and billing for their organization.
- Administrators control who can access the organization's data and are responsible for ensuring their organization's compliance with applicable laws and regulations.
- Data is isolated between organizations. Users may belong to multiple organizations.
5. Acceptable Use
You agree not to use IntelliDesk to:
- Violate any applicable local, national, or international law or regulation
- Transmit any malware, viruses, or other malicious code
- Attempt to gain unauthorized access to any part of the service, other accounts, or systems connected to IntelliDesk
- Scrape, crawl, or reverse-engineer any part of the service without written permission
- Use the service for sending spam, unsolicited communications, or harassment
- Exceed reasonable rate limits or use the service in a manner that degrades performance for other users
- Resell, sublicense, or redistribute access to the service without our prior written permission
We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including suspending or terminating their account.
6. Data and Privacy
Your data remains yours. We do not claim ownership of any content you submit to IntelliDesk. By using the service, you grant us a limited, non-exclusive license to use, process, and store your data solely as necessary to provide and improve the service.
We process your personal information in accordance with our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for the data you and your customers submit to IntelliDesk, including ensuring you have the necessary rights and consents to share such data with us.
7. Email Integration
When you connect your Gmail account to IntelliDesk, you authorize us to read, send, and manage email messages solely for helpdesk purposes. This includes creating tickets from incoming emails and sending responses on your behalf.
- You may disconnect your Gmail account at any time from IntelliDesk settings.
- Our use of Gmail data is governed by our Google API Services Limited Use Disclosure.
- You are responsible for ensuring your use of email integration complies with applicable laws, including anti-spam legislation.
8. Payment and Billing
Paid plans are billed monthly via Stripe. By subscribing to a paid plan, you agree to pay all applicable fees.
- Prices may change with at least 30 days' written notice. Continued use after a price change constitutes acceptance of the new pricing.
- Failed payments may result in service restrictions or suspension until payment is resolved.
- Free trial: 90 days, no credit card required. At the end of the trial period, you must subscribe to a paid plan to continue using premium features.
- Refunds are provided at our discretion. Contact us if you believe you are entitled to a refund.
9. Intellectual Property
IntelliDesk and its original content, features, and functionality are owned by i60 and are protected by international copyright, trademark, and other intellectual property laws. Our name, logo, and branding may not be used without our prior written permission.
You retain full ownership of all data, content, and materials you submit to IntelliDesk. Nothing in these Terms transfers any of your intellectual property rights to us.
10. Service Availability
We strive to maintain high availability of IntelliDesk but do not guarantee 100% uptime. The service may be temporarily unavailable due to:
- Scheduled maintenance (with reasonable advance notice)
- Emergency maintenance to address security or stability issues
- Factors beyond our control, including third-party service outages, natural disasters, or internet disruptions
We are not liable for any loss or damage resulting from service unavailability beyond our reasonable control.
11. Limitation of Liability
To the maximum extent permitted by applicable law, i60 and its directors, employees, partners, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, whether arising from contract, tort, negligence, or any other legal theory.
Our total aggregate liability for any claims arising from or related to these Terms or the service shall not exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless i60 and its directors, employees, partners, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from or related to:
- Your use of IntelliDesk
- Your violation of these Terms
- Your violation of any rights of a third party
- Any content you or your customers submit through the service
13. Termination
Either party may terminate the service relationship at any time. You may close your account through your account settings or by contacting us.
- We may suspend or terminate your account immediately if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the service, other users, or third parties.
- Upon termination, your right to access and use IntelliDesk ceases immediately.
- Your data will be available for export for 30 days following account termination. After that period, your data will be permanently deleted.
14. Changes to Terms
We may modify these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of IntelliDesk after the effective date of changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the service and close your account.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the use of IntelliDesk shall be resolved exclusively in the courts of the Republic of South Africa.
